3. Client Responsibilities
You agree to:
- Provide accurate system information, credentials, and access that our technicians need to perform services
- Keep all third-party software properly and legally licensed
- Comply with all applicable laws and regulations in how you use our services
- Maintain reasonable security practices on your end
- Provide timely feedback and approvals when requested
- Notify us promptly of any security incidents or system issues
4. Payment & Billing
Service Plans
Services are billed according to your selected plan and service agreement
Custom Development
Project work is quoted separately with detailed statements of work
Payment Terms
Invoices are due within 15 days or as specified in your service agreement
Late Payments
Late payments may incur interest at 3% per month or the maximum allowed by law

By providing your mobile number and opting in, you authorize Voltek IT to send you SMS messages regarding:

6. Support & Service Level Agreement
Helpdesk Support

- Less than 15-minute response time for emergencies

Onsite Support
- Available in key metropolitan areas
- Scheduled maintenance visits
- Emergency onsite response when needed
- Hardware installation and configuration
7. Custom Software Development
- Services are scoped in detailed project proposals or statements of work
- Ownership of custom deliverables transfers to you upon full payment, unless we use proprietary tools—we retain rights to those
- We offer bug-fixing support during the warranty period as specified in your agreement
- Additional maintenance and feature development is billed separately
- Source code and documentation provided upon project completion
8. Confidentiality
We both commit to preserving the confidentiality of non-public, proprietary information exchanged during our engagement. This includes but is not limited to:
- Business strategies and plans
- Technical specifications and designs
- Customer and vendor information
- Financial information
- System configurations and credentials
- Proprietary software and processes
- Trade secrets and know-how
- Any information marked as confidential
9. Intellectual Property

All Voltek IT branding, website elements, proprietary tools, and methodologies remain our property
Client Deliverables
You receive full licenses for custom deliverables paid in full, subject to any third-party licensing terms
10. Liability Limitation
Important Limitation Notice
Our total liability for any claims arising from our services is limited to the fees paid for the specific service that gave rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
This limitation applies regardless of the theory of liability, whether based on warranty, contract, statute, tort, or otherwise, and even if we have been advised of the possibility of such damages.
11. Term & Termination
Standard Termination
Either party can terminate the agreement with 30 days' written notice
Immediate Termination
We may suspend services immediately if you breach payment terms or these conditions
Upon termination, you must pay all fees for services rendered up until the termination date. We will provide reasonable assistance in transitioning services to another provider.
12. Governing Law
These Terms are governed by New York State law, without regard to conflict of law principles. Any disputes arising from these Terms or our services fall under the jurisdiction of courts in New York County, New York.
Both parties agree to attempt to resolve disputes through good faith negotiation before pursuing legal action.
13. Updates
We may update these Terms at any time to reflect changes in our services, legal requirements, or business practices. The new version will display an updated "Effective Date" at the top of this page.
For significant changes that materially affect your rights or obligations, we will provide reasonable notice through email or prominent website notification. Continued use of our services after such changes constitutes acceptance of the updated Terms.
